1. Who you are contracting with

These Terms are a binding agreement between you and Ehrler Systems ("Ehrler Systems", "we", "us"), the provider of the Ehrler Systems website chat and AI sales assistant platform (the "Service"). By creating an account or continuing to use the Service you agree to these Terms. If you use the Service for an organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age.

2. The Service

Ehrler Systems provides an AI assistant that is installed on your website to answer visitor questions, capture and qualify leads, book meetings, and route conversations to your team, together with the related dashboard, CRM, automation and analytics tools included in your plan.

3. Your account

You must provide accurate information and keep it up to date, keep your credentials confidential, and you are responsible for all activity under your account.

4. Acceptable use

You must not, and must not allow anyone else to:

• use the Service unlawfully, or for fraud, spam or deceptive practices;
• infringe the intellectual property or privacy rights of others;
• interfere with the security or integrity of the Service, including malware, probing, penetration testing without consent, or unauthorised scraping;
• reverse engineer, resell or redistribute the Service, or circumvent plan limits.

5. AI-generated content

The Service uses generative AI. You are responsible for the content you provide (your website content, knowledge base, prompts and instructions), for having the rights to that content, and for how you use the outputs. You must not use the Service to generate illegal content, hate speech, deepfakes, malware, or to attempt to jailbreak or misuse the underlying models.

AI outputs may be inaccurate, incomplete or out of date. Outputs are not professional, legal, medical or financial advice and must not be relied on in regulated contexts without appropriate human oversight. You are responsible for reviewing outputs before relying on them.

We may moderate content: we may filter or refuse outputs, remove or restrict content, and suspend accounts that breach these Terms. Rights-holders may contact us to request removal of infringing content, and repeated infringement will result in termination.

6. Intellectual property

We retain all rights in the Service, including software, models, documentation and branding. You are granted a limited, non-exclusive, non-transferable right to use the Service in line with your plan. You retain ownership of your content and grant us a limited licence to host and process it solely to provide the Service.

7. Payments, subscriptions and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, renewal, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See our Refund Policy for our refund commitment.

8. Service availability

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim implied warranties including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. On termination your access ends; you may export your data for 30 days, after which it may be deleted.

10. Liability

To the extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months before the claim, and we exclude indirect, consequential or special damages including loss of profits, data or goodwill. Nothing excludes liability for fraud, death or personal injury caused by negligence.

11. Indemnity

You indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. General

You may not assign these Terms without our consent; we may assign them in a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are governed by the laws of the jurisdiction in which Ehrler Systems is established, and disputes are subject to the courts of that jurisdiction.
